Proposed Bylaw Updates
A draft of proposed updates to Article V of the Bylaws for your review prior to the meeting can be found at https://docs.google.com/document/d/1LyF6eqdTG9jQpbD6HBCfKqKZ7qNH6GIBF9byLUntKS0/edit?usp=sharing .
In plain terms, here is what we are trying to accomplish:
The goal of these changes is stability and long-term protection of the Club.
John and Mike started this Club. They have carried an enormous amount of responsibility behind the scenes, financially, legally, operationally, and from a safety standpoint. John’s background as a CPA and former IRS agent has kept us financially sound and compliant. Mike’s leadership and aviation experience have guided this Club from day one and continue to do so.
The proposed changes would:
• Create two permanent Board seats for Mike and John so long as they are willing and able to serve.
• Maintain rotating Board seats so the membership continues to elect directors regularly.
• Preserve the membership’s authority to remove any director by supermajority vote.
• Require an even higher threshold for removal of the two permanent seats, ensuring stability unless there is overwhelming consensus.
• Require Board vacancies to be filled within 90 days to prevent manipulation or delay.
• Allow the structure to fully return to a normal rotation if and when both permanent directors step down.
This is not about consolidating power or building a fiefdom. It is about ensuring the continuity and financial and operational stability of the Club for the long term.
Members remain the ultimate authority of the Club. These changes are intended to protect what has been built while still preserving accountability.
If you have questions, concerns, or suggestions before the meeting, please feel free to contact me directly. I am happy to discuss the proposal with anyone in advance so that we can have a productive and informed discussion on April 11.
