Since de-merging from GBC in November 2001, TBA had been transformed, by necessity, from a helmet and accessory only distributor, to primarily a distributor of global branded bicycles to independent bicycle stores, discount department stores and sporting retailers. TBA had a strong relationship with US Company Pacific Cycle Inc., a division of Dorel Industries, and was predominantly a distribution

company in Australia representing a portfolio of brands owned by Pacific Cycle. After three years of rebuilding the business, the owner of TBA had clearly identified future growth strategies within the bicycle industry and was seeking medium term expansion equity finance along with and direct participation in key strategic decisions as the business moved to successfully execute these strategies, this prior to the unlawful termination of its various contracts by Dorel Industries.
